Terms of Service

Effective date: 4 November 2026

These terms are an agreement between you and Elegra Suit Ventures, a business registered in Ghana (No. BN114890226), of 11 Nii Akuboye Street, East Legon, Accra, Ghana ("ClientKickoff", "we", "us"). They cover your use of clientkickoff.com and the ClientKickoff app. By creating an account or using ClientKickoff, you agree to them. If you sign up for a business, you confirm you can agree on its behalf, and "you" means that business.

Questions: app.clientkickoff@gmail.com.

1. What ClientKickoff is

ClientKickoff helps agencies and freelancers collect what they need from a client before a project starts:

  • files;
  • answers;
  • approvals;
  • access.

You send your client a link. They work through it, and you see what's done and what's missing.

2. Your account

  • Who can sign up: you must be at least 18 and using ClientKickoff for business.
  • Accurate details: give us accurate details and keep them current.
  • Your sign-in: keep your password and two-step login safe. You're responsible for what happens under your account. If you think someone else has got in, tell us at once.
  • Your team:
    • the person who creates an agency is its owner;
    • the owner decides who joins and what each role can do;
    • the owner is responsible for the team's use of ClientKickoff.

3. Plans, trials and payment

  • Plans: Free, Pro and Agency. Each plan's price and limits are on our pricing page and in the app under Settings → Billing.
  • Free trial:
    • a new agency can try Pro free for 14 days, with no card needed;
    • each email address gets one free trial;
    • when a trial ends without a paid plan, the agency moves to Free and Free's limits apply.
  • Who charges you: payments are handled by Lemon Squeezy, our reseller and merchant of record. Lemon Squeezy charges you, works out and collects sales tax or VAT, and issues your invoices. Their terms also apply to your purchase.
  • Renewal: paid plans renew automatically each month or year until you cancel.
  • Cancelling:
    • cancel any time in Settings → Billing;
    • you keep your plan until the end of the period you've paid for, and it doesn't renew after that.
  • Refunds: payments aren't refundable, including for unused time on a monthly or yearly plan. The 14-day free trial is there so you can be sure first. Where the law that protects you requires a refund, you'll get one.
  • Changing plan:
    • moving up takes effect straight away;
    • moving down applies the lower plan's limits. If you're over a limit, what you already have stays, but you can't add more until you're back under it.
  • Price changes: we'll tell you at least 30 days before a price change affects your plan. The new price starts at your next renewal after that.
  • Missed payments: if a payment fails and isn't sorted out, we may move the agency to Free.

4. Your content and your clients' data

  • It's yours. You and your clients own everything you put into ClientKickoff, including files, answers, kits and branding ("your content").
  • What you let us do with it: you give us permission to store, copy, process and display your content, only as needed to run ClientKickoff for you. That includes showing your clients your branding on their link.
  • Your clients' data:
    • for the personal data your clients give through ClientKickoff, you're the controller and we act as your processor, as described in our Privacy Policy;
    • you're responsible for having a lawful reason to collect it, and for telling your clients how you'll use it;
    • we'll sign a data processing agreement with you on request.
  • Access codes: ClientKickoff can collect access to a client's accounts, such as a collaborator or staff code. Ask only for the access you need, and erase it once it works. Don't ask clients for their own main passwords.
  • Backups are your job: keep your own copy of anything you can't afford to lose.
  • Deleting:
    • when you delete an agency, you can restore it for 14 days by signing in; after that, everything in it is erased and can't be recovered;
    • files in archived projects are deleted after your plan's archive period (30 days on Free, 90 days on paid plans).

5. Acceptable use

Don't use ClientKickoff to:

  • break the law, or help anyone else break it;
  • collect data you have no right to collect, or ask for payment card numbers, bank passwords or government ID numbers;
  • send spam, phishing, or links meant to trick people;
  • upload malware, or content that's illegal, or that infringes someone else's rights;
  • try to get into another agency's data, test our security without written permission, or get around plan limits;
  • overload the service, or scrape it, or copy it to build a competing product;
  • resell ClientKickoff without our written agreement.

We may remove content or suspend an account that breaks these rules. Where we can, we'll tell you first and give you a chance to fix it.

6. Files

  • Uploads are checked to be the type they claim to be.
  • We don't promise that files are free of viruses or other harmful content. Open files from people you don't know with care.
  • Each plan has a storage limit. When an agency reaches it, clients can't upload more until space is freed or the plan is changed.

7. If you're an agency's client

If an agency sent you a ClientKickoff link:

  • you're using ClientKickoff on that agency's behalf;
  • your agreement about the work is with the agency, not with us;
  • section 5 (acceptable use) applies to you too;
  • the agency controls what you share, so questions about your data go to them first. Our Privacy Policy explains how we handle it.

8. Our service

  • Changes: we keep improving ClientKickoff. We may add, change or remove features. If we remove something important from a paid plan, we'll give you notice.
  • Availability: we work to keep ClientKickoff running, but we don't promise it will always be available or free of errors. Planned work and outages outside our control can interrupt it.
  • Other services: ClientKickoff relies on providers such as our hosting, database and payment partners. We aren't responsible for their failures, but we'll do what we reasonably can when one happens.

9. Feedback

If you send us ideas or suggestions, we may use them freely, without paying you or owing you anything.

10. Our intellectual property

ClientKickoff itself (the software, design, name and logo) belongs to us. These terms give you the right to use it while your account is in good standing; they don't give you ownership of any of it.

11. Disclaimers

ClientKickoff is provided "as is" and "as available". As far as the law allows, we don't give warranties of any kind, including that it's fit for a particular purpose. Nothing in these terms limits rights you have under law that can't be limited.

12. Limit of liability

As far as the law allows:

  • neither of us is liable to the other for indirect or consequential losses, or for lost profits, revenue or data;
  • our total liability for all claims under these terms is limited to the greater of (a) what you paid us in the 12 months before the claim, or (b) US$100.

These limits don't apply to fraud, or to anything else the law doesn't allow to be limited.

13. Indemnity

You'll cover us for claims brought by others, including your clients, that come from your content, from how you collect and use your clients' data, or from your breaking these terms.

14. Ending

  • You can stop any time. Cancel your plan, and delete your agency or account in Settings.
  • We can end or suspend your account if you seriously or repeatedly break these terms, if you don't pay, or if the law requires it. Where we can, we'll give you notice and time to download your content.
  • What survives: sections 4 (for deleting), 9, 10, 11, 12, 13 and 16 continue after an account ends.

15. Changes to these terms

We may update these terms. We'll post the new version here with a new effective date. For changes that matter, we'll tell agency owners by email or in the app at least 30 days before they apply. If you keep using ClientKickoff after that, the new terms apply. If you don't agree, you can cancel and delete your account.

16. Law and disputes

These terms are governed by the laws of Ghana, and disputes go to the courts of Ghana. If the law where you're based gives you rights that a contract can't take away, such as data-protection rights in the EU or the UK, you keep them, including any right to bring a claim where you live. Before going to court, please write to us. Most problems can be sorted out quickly.

17. The rest

  • These terms and our Privacy Policy are the whole agreement between us about ClientKickoff.
  • If part of these terms can't be enforced, the rest still applies.
  • If we don't enforce something straight away, we haven't given up the right to.
  • You can't transfer your account or these terms without our agreement. We may transfer them if ClientKickoff is sold or merged, and we'll tell you.
